Terms of Service

1. Agreement to Terms
By accessing or using PingParrot ("the Service") at pingparrot.app, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including free accounts and paid subscribers.
2. Description of Service
PingParrot is a critical alert paging platform that delivers push notifications to registered mobile devices and repeats those notifications at a configured interval until acknowledged. The Service includes a web dashboard, REST API, and mobile applications for Android and iOS.
3. Accounts and Organizations
- You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials.
- Each account belongs to one Organization. The account owner (Organization owner) is responsible for all activity under that organization.
- You must verify your email address to access the Service.
- You may not share your account credentials or allow others to access your account on your behalf except through the pager invitation system.
- You are responsible for all pages sent from your organization's account and any API keys issued under it.
4. Acceptable Use
You agree not to use PingParrot to:
- Send spam, unsolicited alerts, or notifications to individuals who have not consented to receive them.
- Harass, threaten, or alarm any person.
- Violate any applicable law or regulation.
- Interfere with or disrupt the Service or its infrastructure.
- Attempt to gain unauthorized access to other accounts or systems.
- Reverse-engineer, decompile, or extract source code from the Service.
- Resell or sublicense access to the Service without our written permission.
- Use the Service for life-safety critical systems where failure could result in injury or death without independent safeguards in place.
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.
5. Billing and Payments
- Free tier: Up to 3 pager devices are included at no charge with no time limit.
- Team plan: Additional pagers beyond 3 are billed at $8 CAD per pager per month. Billing is monthly and begins immediately upon subscribing.
- Payments: All payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service. We accept major credit cards and invoice payments.
- Currency: All prices are in Canadian dollars (CAD) unless otherwise stated.
- Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period. No prorated refunds are provided for partial months.
- Failed payments: If a payment fails, we will attempt to notify you by email. Continued failure may result in suspension of your subscription and loss of access to paid features.
- Price changes: We may change pricing with at least 30 days' notice by email. Continued use after the effective date constitutes acceptance.
6. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. PingParrot is provided "as is." We are not liable for any downtime, missed alerts, or failures of third-party services (including Firebase, Stripe, or your mobile carrier) that may affect notification delivery.
Critical infrastructure warning: PingParrot should not be used as the sole alerting mechanism for life-safety applications (e.g., medical emergencies, fire suppression systems). Always maintain independent backup alerting for truly critical systems.
7. API Usage
API keys grant access to your organization's pages on your behalf. You are responsible for keeping API keys secure. Do not embed API keys in public code repositories or client-side applications. If an API key is compromised, revoke it immediately from your dashboard. Automated abuse of the API (e.g., flooding the system) may result in rate limiting or account suspension.
8. Intellectual Property
PingParrot and its logo, design, and software are owned by us and protected by applicable intellectual property laws. You retain ownership of any content you submit (alert messages, group names, etc.). By using the Service, you grant us a limited licence to store and transmit that content solely to provide the Service to you.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. Limitation of Liability
To the maximum extent permitted by law, PingParrot and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or failure to deliver notifications. Our total liability to you for any claim arising from these terms or your use of the Service shall not exceed the amount you paid us in the 3 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless PingParrot and its operators from any claims, losses, damages, or costs (including legal fees) arising from your use of the Service, your violation of these Terms, or any alert content you transmit through the Service.
12. Termination
Either party may terminate the relationship at any time. You may delete your account via the dashboard or by contacting us. We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with reasonable notice. Upon termination, your data will be deleted in accordance with our Privacy Policy.
13. Governing Law
These Terms are governed by the laws of Canada and the province of Ontario, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario, Canada.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you by email of any material changes at least 14 days before they take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
